Terms of Service
These terms govern your use of SMP CRM, operated by SMP Consulting LLC ("we", "us"). By creating an account or subscribing, you agree to them.
1. The Service
SMP CRM is customer relationship management software. It records your customers and what you know about them, your catalog, your quotes and your contracts, and where you choose to use it, computes sales commission according to rules you configure.
2. Your Account
You are responsible for the accuracy of your account details, for the security of your credentials, and for the actions of everyone you invite into your organization. Tell us promptly if you believe an account has been compromised.
Your organization's data is yours. We do not sell it, we do not use it to train anything, and we do not make it available to another customer.
3. Trials
A trial lasts fourteen days and requires no payment card. One trial per organization, whichever plan it is taken on. Trials are recorded against your email domain, so closing an organization and creating another does not start a second one. Nothing is charged when a trial ends: it simply stops unless you tell us to continue.
4. Pricing, Billing, and Why We Do Not Give Refunds
Our prices are deliberately low, and this section explains what that costs.
We run lean. In particular, we do not staff a large support organization. We do not maintain a 24-hour call centre, we do not staff overnight or at weekends, and we do not employ the account managers, retention teams and billing support staff a company charging several times our price can afford.
Handling refunds is itself a staffed activity. Every request has to be received, investigated, decided, processed and reconciled, and the people who do that work are paid out of the price everybody pays. We would rather not charge everybody for it.
Accordingly, all charges are final and non-refundable. This includes monthly and annual subscription fees, add-ons, and any partial period following a cancellation or a move to a smaller plan. We do not pro-rate unused time.
What you get instead of refunds:
- You can cancel at any time, effective at the end of your current billing period. You will not be charged again.
- Nothing you have already paid for is taken away. Your records stay available for export throughout the retention window described in our Privacy Notice.
- We never withhold your data over a billing dispute. If your account is past due or paused, you can still export your customers, quotes, contracts and commission records. We will not hold your business hostage.
- We tell you before you spend money. A change that costs more is shown before it takes effect, and a change to a smaller plan asks you who keeps a sign-in rather than choosing for you.
If we make a genuine billing error, that is our mistake and we will correct it. That is a correction, not a refund.
Nothing in this section limits any right you have under applicable law that cannot be waived by agreement.
5. Users and Plans
A plan includes a number of users. A user is anybody with a sign-in in your organization. Somebody at an outside sales agency working in your organization has an account with their own agency and does not use one of your users.
If you move to a plan with fewer users than you have, we will ask you which accounts keep a sign-in. We will not choose for you, and the change does not take effect until you have answered. Accounts that do not keep a sign-in are switched off, not deleted.
6. Commission Is Yours, Not Ours
Where you use the commission features, SMP CRM computes and records; it does not pay. We are not a party to any commission agreement between you and the people you pay, we do not hold or transmit commission money, and we do not adjudicate a dispute about what is owed.
Every commission figure the product produces is accompanied by the derivation that produced it, from the rules you configured. If those rules are wrong, the figures follow them faithfully and are wrong in the same way. Reviewing your own configuration is your responsibility.
Where a commission structure pays a party outside your organization, the product will not let you change it without that party's agreement. That is a feature of the software and not a legal determination about your agreement with them.
7. Availability
We aim for the Service to be available and we do not promise a specific uptime figure, because we would rather not make a promise we have not engineered to keep. We take backups, and recovery from a backup is our recovery route.
8. Suspension and Termination
We may suspend or close an account that breaches these terms or our Acceptable Use Policy. Where circumstances allow it we will tell you first and give you a chance to put it right. You may close your account at any time; export your data before you do.
9. Changes to These Terms
We may change these terms. A material change is published as a new version and we will ask you to agree to it, showing what changed rather than telling you that something did. Continuing to use the Service after a change means you accept it.
10. Liability
To the extent the law allows, our total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the claim. We are not liable for lost profits, lost business, or indirect or consequential loss.
11. Governing Law
These terms are governed by the laws of the State of Texas, and the courts of that state have exclusive jurisdiction.
